Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") form a binding agreement between you and ReadyRef ("we," "our," or "us"), operated by Jeddore McDonald, and govern your use of the ReadyRef mobile application and the readyref.app website (together, the "Service").

By creating an account, installing, or using the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, and Refund & Cancellation Policy, which are incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility and Accounts

• You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or guardian.
• A Google account is required to sign in. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
• You agree to provide accurate information and to keep it up to date. You may not impersonate another person or misrepresent your affiliation with a team, league, or organization.

3. The Service

ReadyRef provides tools for officiating, scoring, and managing flag football games, including a live scoreboard, league scheduling, standings, tournament brackets, player statistics, public league websites, spectator "watch" mode, and related fan features. We may add, change, or remove features at any time. Some features are available only on paid plans.

4. Subscriptions, Billing, and Auto-Renewal

• Plans. ReadyRef offers a free tier and paid subscriptions (currently Plus and League), available on monthly or annual billing. Current pricing and features are listed on our Pricing page. Prices are shown in USD; local pricing and taxes may vary.
• Purchases through app stores. Paid subscriptions are purchased and billed through the Google Play Store or the Apple App Store and managed using RevenueCat. Your purchase is also subject to the terms of the applicable app store.
• Auto-renewal. Subscriptions automatically renew at the then-current price at the end of each billing period unless you cancel at least 24 hours before the period ends. Your store account is charged for renewal within 24 hours before the period ends.
• Cancellation and refunds. You can cancel anytime through your app store account. See our Refund & Cancellation Policy for how cancellations, refunds, and plan changes work.
• Price changes. We may change subscription prices. Changes apply to future billing periods and we will give notice as required by the app stores and applicable law.

5. League Registration Payments

Some leagues use ReadyRef to collect registration fees. When you register for a league, camp, clinic, or tournament through ReadyRef, you are buying that program from the organization that runs it — not from ReadyRef.

5.1 The organizer is the seller

• The organizer sets the price, decides who may register, and delivers the program.
• The organizer is solely responsible for running the program safely and lawfully, including supervision, insurance, facility permits, background checks on their staff and volunteers, and any waiver or consent they ask you to sign.
• ReadyRef does not organize, staff, supervise, inspect, endorse, or vet any program listed on the Service, and does not verify the accuracy of what an organizer publishes about one.
• Your agreement to attend is between you and the organizer. Questions, complaints, schedule changes, cancellations, and refund requests go to the organizer.

5.2 How payment works

• Card payments are processed by Stripe. Funds are paid to the organizer's own Stripe account. ReadyRef does not receive, hold, or control registration funds at any time.
• ReadyRef never sees or stores your full card number. Stripe handles card details directly.
• Organizers who collect payment through ReadyRef contract with Stripe directly and are bound by the Stripe Connected Account Agreement in addition to these Terms.
• An organizer may also accept payment outside ReadyRef — cash, e-transfer, or cheque. ReadyRef only records that the organizer marked such a payment received; we take no part in it and can confirm nothing about it.

5.3 Our service fee

• ReadyRef charges a service fee for online registration. The fee is shown as a separate line before you pay, and is included in the total you authorize.
• The fee is charged only on payments processed online through the Service. Payments an organizer collects outside ReadyRef carry no ReadyRef fee.
• Stripe charges its own processing fee to the organizer. That fee is separate from ours.
• Fees may change. A change never applies to a registration already paid.

5.4 Organizer responsibilities

If you collect registration fees through ReadyRef, you additionally agree that:

• You are the seller of record for every registration you accept, and you are responsible for determining, collecting, and remitting any sales, goods and services, or other taxes that apply to the fees you charge. ReadyRef does not calculate or remit taxes on your fees.
• You will deliver the program you sold, or refund those who paid for it.
• You are responsible for chargebacks, disputes, and refunds on payments you accept, and for any resulting negative balance on your Stripe account.
• You will publish accurate dates, locations, prices, age ranges, and refund terms.
• You will handle participant information as described in our Privacy Policy, use it only to run your program, and comply with the privacy laws that apply to you.
• You will not use ReadyRef to collect money for anything other than a genuine sports or recreation program you actually run.

5.5 What we may do

We may decline, pause, or reverse a registration, or suspend an organizer's ability to collect payments, where we reasonably suspect fraud, misuse, or a breach of these Terms, or where Stripe or a card network requires it. We are not liable for a program that is cancelled, changed, or never delivered by an organizer.

6. Free Tier and Advertising

The free tier is provided at no charge and may display advertising served through Google AdMob. Plan limits (such as the number of leagues, teams, refs, and simultaneously watched games) are described on the Pricing page and may change over time. We may impose reasonable limits to protect the stability and cost of the Service.

7. Your Content

• Ownership. You retain ownership of the content you submit, including team names, rosters, player names, jersey numbers, logos, schedules, and statistics ("Your Content").
• License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content solely to operate and improve the Service — including, where you choose to publish it, on public league websites and spectator views.
• Responsibility. You are responsible for Your Content and for having the right to submit it. If Your Content includes information about minors, you confirm you have the necessary authority and consent to share it. Your Content must comply with our Acceptable Use Policy.

8. Acceptable Use

You agree to use the Service lawfully and in accordance with our Acceptable Use Policy. Among other things, you may not abuse, reverse engineer, overload, or interfere with the Service, or use it to harass others or to manipulate scores, statistics, leaderboards, or fan features.

9. Intellectual Property

The Service, including its software, design, logos, and the "ReadyRef" name, is owned by us and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from the Service except as permitted by law.

10. Third-Party Services

The Service relies on third parties, including Google (sign-in, Play services, AdMob), Firebase (authentication, databases, storage, analytics, messaging), Apple, RevenueCat, and Stripe (registration payments). Your use of those services is also governed by their terms and privacy policies. We are not responsible for third-party services.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that scores, statistics, schedules, or notifications will always be accurate or delivered. ReadyRef is a recordkeeping tool and is not a substitute for official league records or on-field officiating judgment.

12. Limitation of Liability

To the maximum extent permitted by law, ReadyRef and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, goodwill, or profits, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) CAD $50.

13. Indemnification

You agree to indemnify and hold harmless ReadyRef and its operator from any claims, damages, or expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

14. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, or to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive. 15. Changes to These Terms

We may update these Terms from time to time. We will update the "Effective Date" above and, for material changes, provide reasonable notice within the app or on our website. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute not subject to mandatory consumer-protection venue rules in your jurisdiction.
